By accessing or using Syncelix, you agree to be legally bound by these Terms. If you do not agree, do not use the Services.

1. Company Overview

Syncelix (“Company,” “we,” “us,” or “our”) provides business automation, CRM, messaging, marketing, AI, and related SaaS tools. Syncelix is a technology platform, not a marketing agency, broker, or sender of record.

2. Eligibility

You must be at least 18 years old and have the legal authority to enter into this agreement. By using Syncelix on behalf of a business, you represent that you are authorized to bind that entity.

3. Account Registration

You agree to:

Provide accurate and complete information

Maintain the security of your login credentials

Accept responsibility for all activity under your account and sub-accounts

You are responsible for all users you grant access to.

4. Subscription, Billing, and Payments

Syncelix operates on a subscription basis

Fees are billed in advance and are non-refundable

Failure to pay may result in suspension or termination

Prices may change with notice

No refunds for unused time, suspended accounts, or enforcement actions.

5. Acceptable Use

You agree not to use Syncelix for:

Illegal, fraudulent, or deceptive activities

Violations of TCPA, CAN-SPAM, A2P 10DLC, or carrier rules

Sending messages without proper consent

Uploading purchased, scraped, or third-party contact lists

Prohibited messaging content (as defined in A2P Messaging Terms)

Infringing intellectual property

Attempting to reverse engineer or abuse the platform

Violations may result in immediate termination.

6. Messaging & Communication Services

Messaging services are governed by the A2P Messaging Terms of Service, which are incorporated by reference.

You acknowledge:

You are the sender of record

You are solely responsible for consent and compliance

Carriers may block or filter messages

Delivery is not guaranteed

Syncelix assumes no liability for messaging outcomes.

7. User Content & Data

You retain ownership of data you upload.

By using Syncelix, you grant us a limited license to:

Host

Process

Transmit

Display your data solely to provide Services

You represent that you have lawful rights to all data uploaded.

8. Intellectual Property

All Syncelix software, branding, workflows, templates, and content are owned by Syncelix and protected by intellectual property laws.

You may not copy, resell, sublicense, or redistribute any part of the Services without written permission.

9. Third-Party Services

Syncelix integrates with third-party providers (e.g., messaging carriers, payment processors).

We are not responsible for:

Third-party outages

Pricing changes

Policy enforcement

Service limitations

Your use of third-party services is subject to their terms.

10. Suspension & Termination

Syncelix reserves the right to:

Suspend or terminate accounts immediately

Remove access without notice

Disable phone numbers or campaigns

Withhold refunds

Especially for compliance, risk, or reputational concerns.

11. Disclaimers

Services are provided “as is” and “as available.”

We make no guarantees regarding:

Revenue

Deliverability

Business outcomes

Platform uptime

Use is at your own risk.

12. Limitation of Liability

To the maximum extent permitted by law, Syncelix shall not be liable for:

Indirect or consequential damages

Loss of profits or data

Carrier penalties

Regulatory actions

Business interruption

Our total liability shall not exceed the amount paid by you in the last 30 days.

13. Indemnification

You agree to indemnify and hold harmless Syncelix from any claims arising out of:

Your use of the Services

Messaging violations

Data misuse

Legal or regulatory actions

Third-party complaints

This obligation survives termination.

14. Modifications

We may update these Terms at any time. Continued use constitutes acceptance.

15. Governing Law

These Terms are governed by the laws of the United States and the state in which Syncelix operates, without regard to conflict of law principles.
